Dr. Waleed N. Al-Nuwaiser

Managing Partner

Dr. Waleed Al-Nuwaiser is the Managing Partner of WAN & Partners. He has an extensive experience in international and domestic projects relating to corporate laws, mergers and acquisitions, joint ventures and negotiations and other business ventures, including court proceedings. In addition to extensive experience in the field of energy, natural resources and international arbitration.

In addition, Dr. Waleed served as a partner at Gide Loyrette Nouel LLP from June 2008 to October 2010, after which he became a partner and CEO of The Nuiser Office in collaboration with White & Case from November 2010 to December 2015.

The following examples include Dr. Walid’s previous experience in transactions:

  • Representation of an international consortium in connection with its bid for the estimated USD 5 billion Saudi High Speed Train Project (HHR – Phase 2). The project comprises (i) the construction of the rail network, (ii) the procurement of the rolling-stock, telecommunication and signaling equipment, and (iii) the operation and maintenance of the railway network over a 12-year period;
  • Representation of SAUR (successful bidder) in connection with the Water and Wastewater Management Agreement relating to the Holy City of Makkah and the city of Ta’if (tendered by the National Water Company);
  • Representation of an international hydrogen supplier in connection with the Yanbu 400,000 barrels/day Export Refinery Project. This new refinery will substantially increase supply of petroleum products by Saudi Arabia to the international market; and
  • Representation of Emaar, the Economic City in connection with the development and tendering of its Healthcare PPP program for the King Abdullah Economic City in Saudi Arabia.

M&A/ Corporate

  • Representation of Air Liquide Middle East and North Africa in connection with its acquisition of seventy percent (70%) of Al-Khafra Industrial Gases;
  • Representation of Investcorp in connection with its acquisition of an engineering professional partnership by a Limited Liability Company (a combination which was not feasible at the time under existing Saudi regulations);
  • Representation of Swicorp in connection with the structuring of a cross-border incentive plan for key officers of the group based on the performance of the Saudi CMA-licensed joint stock company;
  • Leading Saudi groups in connection with the re-organizing/rationalizing their commercial, corporate or capital structures (e.g. Al-Andalus Real Estate, Al-Argan Group, Al-Faisaliah Holding Group, Al-Batha Group); and

Transforming a 50-year old – but moribund – Distributor to Foreign Principal relationship, mainly due to financial difficulties encountered by the distributor, into a trading JV, taking advantage for this purpose of the regulatory relaxation following Saudi accession to the WTO (SEB Group/Bakhashwain).

WTO

  • Representation of the Saudi Government in connection with to safeguard measures initiated by the Indian government and affecting Saudi exporters of petrochemicals;
  • Representation of Arcelor Mittal in connection with a safeguard and anti-dumping case brought by the GCC;
  • Representation of local consumers in connection with safeguard measures initiated by local producers through the GCC; and

Representation of Advanced Company for Polypropylene versus the Indian government in an anti-dumping case.

Litigation & International Arbitration

  • Representation in connection with on numerous international arbitration disputes involving, or arising from matters subject to, Saudi law, especially in the Oil & Gas sector.
