Mohammad Saleh Al-Awadh

Mohammad is a partner in our M&A and corporate practice. Mohammad has extensive experience in complex cross-border and local transactions in the areas of corporate law, mergers and acquisitions, negotiation of joint ventures and other similar commercial transactions, with a particular expertise in matters relating to acquisitions, joint ventures, commercial transactions and corporate governance.

Examples of Mohammad’s transactional experience include:

  • Providing legal services and consultancy to a number of government projects related to Vision 2030 and the National Transformation Program 2020
  • Providing legal services and consultations to a number of royal commitions with regard to the preparation and drafting of their regulatory frameworks and internal regulations.
  • Providing legal services and advices to a government program with regard to the preparation and formulation of its regulatory framework and internal regulations.
  • Representing the Ministry of Finance in connection with the Ritz Carlton hotel project in Riyadh and Jeddah, Saudi Arabia.
  • Advising FCC/ Samsung C&T and Struckton in their winning bid for the Riyadh Metro project and related aspects of project development.
  • Representing the Ministry of Finance in several different and confidential business projects.
  • Representing Saudi Arabian Oil Company (Saudi Aramco) in the preparation of the issuance bulletin for the issuance of sukuk to Sadara Basic Services
  • Representing Saudi Arabian Oil Company (Saudi Aramco) at the Satorp General Assembly meetings.
  • Providing legal assistance and advice to the National Industrial Clusters Programme in relation to board meetings and existing industrial projects.
  • Representing a company in the structuring project related to employment plans for an existing project in the Gulf between a leading European facility and a Saudi joint venture.
  • Representing one of the kingdom’s leading real estate groups in its restructuring project.
  • Represented by Saudi Arabian Oil Company (Saudi Aramco) in connection with the acquisition of the entire business of one of its subsidiaries, Villa, by The Saudi National Shipping Company (Shipping) for $1.3 billion.
  • Representation of the Ministry of Finance in relation to the project to develop the Haram area in Medina, Saudi Arabia.
  • Advising Saudi Arabian Oil Company (Saudi Aramco) regarding its joint venture with Dow Chemicals to build and operate a us$20 billion integrated chemical complex in Jubail Industrial City, Saudi Arabia. Once completed, it will produce 3.3 million tons per year for more than 300 products of chemicals and plastic products.
  • Representing Qalf International in the sale of its entire shares and exit from Petromin, including the preparation of contracts and decisions and the confirmation of the validity and legality of the procedures and requirements related to arbitration.
  • Advising Saudi Arabian Oil Company (Saudi Aramco) on capital increase and the entry of a new partner in its subsidiary Yaserf in Yanbu city to implement a project worth SAR 31 billion.
  • Advising Saudi Arabian Oil Company (Saudi Aramco) on a range of different issues, including mergers and acquisitions, corporate system, internal investment, CMA regulations, Ministry of Trade and Industry, Investment and International Trade Authority and dispute resolution.
  • Representation of several corporate in relation to M&A projects in Saudi Arabia.
  • Corporate transformation from limited liability to a joint stock company in preparation for their inclusion for public subscription.

Previously, Mohammad was working in the legal department of a Saudi governmental entity, as an associate at Gide Loyrette Nouel LLP (a leading European international law firm), and then as a senior associate at White & Case LLP.
