Abdulaziz M. Al-Babtain

Abdulaziz is a partner in our M&A and corporate practice. Abdulaziz has extensive experience in complex cross-border and local transactions in the areas of corporate law, mergers and acquisitions, negotiation of joint ventures and other similar commercial transactions, with a particular expertise in matters relating to acquisitions, joint ventures, commercial transactions and corporate governance.

Examples of Abdulaziz’s transactional experience include:

  • Representation of the Public Investment Fund (PIF) in connection with NEOM, Red Sea, and Qiddiyah mega projects as part of the Kingdom’s Vision 2030 and National Transformation Program 2020
  • Representation of the Royal Commission for Makkah City and Holy Sites in connection with its regulatory framework structuring
  • Representation of the Royal Commission for Al-Ula for the development of Al-Ula County as part of the Kingdom’s Vision 2030 and National Transformation Program 2020. Analyzed, designed, developed, and implement the legal and regulatory framework for the RCU
  • Representation of National Project Management Organization (MASHROAT) in connection with its development as part of the Kingdom’s Vision 2030 and National Transformation Program 2020. Analyzed, designed, developed, and implement the legal and regulatory framework for MASHROAT
  • Advising FCC / Samsung C&T / Strukton consortium on its successful bid for the Riyadh Metro Project (package 3) and all related project development aspects
  • Representation of Saudi Arabian Oil Company (Saudi Aramco) in the preparation of the issuance bulletin for the issuance of sukuk to Sadara Basic Services.
  • Representation of STC in connection with its acquisitions transaction, drafting of share purchase agreements, shareholder agreements, joint venture agreements.
  • Representation of Saudi Aramco with respect to increase of capital simultaneously to the entry of a new shareholder in their subsidiary (YASREF) in Yanbu for implementing a SAR 31 billion project, and SADARA project in Jubail for a SAR 20 billion project.
  • Representation of Saudi Aramco on the public offering of sukuk in Saudi Arabia of its joint venture with Dow to build and operate the US$20 billion Sadara integrated chemicals complex in Jubail Industrial City, Saudi Arabia.
  • Representation of Saudi Aramco on a range of issues, including M&A corporate and commercial law, inward investment, Capital Market Authority (CMA) regulations, Ministry of Commerce and Industry (MOCI) matters, Saudi Arabia General Investment Authority (SAGIA) matters, and international trade and dispute resolution.
  • Representation of STC in connection with its entry into a football sponsorship and broadcast rights agreements with MBC Group in relation to the Saudi premier football league.
  • Incorporation of 100% foreign-owned companies in Saudi Arabia.
  • Providing legal services and consulting to transform some companies into closed joint stock companies or listed in the Capital Market Authority, projects of establish mixed companies between foreign investors and Saudi companies in various fields and activities, and projects to prepare joint contracts and acquisition contracts between large international and local companies in the commercial and industrial fields.
  • Representing the Tourism Development Fund in promoting the importance of the role of the tourism sector in line with the Kingdom’s Vision 2030 and the National Transformation Program 2020.

Previously, Abdulaziz worked as an associate in a leading Saudi law firm, after which time, Abdulaziz worked as an associate at White & Case LLP.
